BENTONOOK MARKETPLACE AGREEMENT
(TERMS OF SERVICE FOR BUYERS AND SELLERS)

Welcome to BentoNook (bentonook.com, hereinafter referred to as the "Platform"). This Marketplace Agreement constitutes a legally binding tri-party electronic contract between Abstract (a sole proprietorship firm registered under Indian laws, represented by its proprietor Ayush Tiwari, hereinafter referred to as the "Firm", "we", "us", or "our"), the independent creative vendors listing artwork on the Platform (hereinafter referred to as the "Seller" or "Artist"), and the individuals browsing or purchasing from the Platform (hereinafter referred to as the "Buyer").

By accessing the Platform, registering an account, listing artwork, or executing a purchase, you unequivocally agree to be bound by this Agreement.

SECTION 1: THE INTERMEDIARY NATURE OF BENTONOOK

1.1 Marketplace Infrastructure: BentoNook operates strictly as an online e-commerce intermediary platform. We provide a curated, grid-based layout infrastructure, digital storefront dashboards, and payment routing channels that allow independent Sellers to showcase and sell their original art, prints, and creative merchandise directly to Buyers.

1.2 No Transfer of Title: The Firm does not hold stock, possess inventory, or own any of the artworks listed by Sellers. The contract for the sale of any item is strictly a bipartite contract between the Buyer and the Seller. Abstract does not assume title, risk, or liability for individual transactions executed on the Platform.

SECTION 2: TERMS FOR SELLERS (ARTISTS & CREATORS)

2.1 Onboarding & KYC: To list artwork, Sellers must register an account and undergo automated verification. In compliance with Indian tax laws, Sellers must provide accurate bank account details, PAN cards, and GSTIN details (where applicable).

2.2 Intellectual Property Warranty: The Seller represents, warrants, and guarantees that they are the sole, original creator and legal owner of all artworks, designs, and prints listed on their storefront.

Anti-Piracy Rule: Listing plagiarized, AI-generated copies of copyrighted work, or unauthorized reproductions is strictly prohibited. If an intellectual property violation is detected, Abstract reserves the absolute right to freeze the Seller's storefront and withhold pending payouts.

2.3 Prohibited Items: Sellers are strictly barred from listing antiquities, historical national treasures, or artifacts that violate The Antiquities and Art Treasures Act, 1972.

2.4 Platform Commission & Payouts:

  • Abstract charges a fixed percentage commission fee on the final invoice value of each successful transaction.
  • Net balances (item price minus platform commission and integrated logistics costs) will be disbursed to the Seller’s registered bank account within T+3 to T+7 business days following successful delivery to the Buyer, ensuring completion of the consumer return window.

SECTION 3: TERMS FOR BUYERS

3.1 Binding Purchase Order: When a Buyer clicks "Checkout" and executes payment for an item, they are placing a legally binding order. For items sold via the Platform's Soft-Bidding (Auction) Framework, the Top-3 cascading priority rules apply:

  • The Top Bidder is granted a strict 24-hour exclusive window to complete the payment via the checkout link.
  • If the Top Bidder defaults or ghosts the checkout link, the right-to-buy automatically cascades to the Second-Highest Bidder for 24 hours, and subsequently to the Third-Highest Bidder.
  • Habitual bid abandonment (failing to settle a winning bid more than 2 times) will result in permanent suspension of the Buyer’s profile.

3.2 Authenticity and Variations: Buyers acknowledge that since items consist of original artworks, physical prints, and custom-made merchandise, minor variations in color, texture, or hand-made finishes may exist compared to the digital mockup images displayed on screen.

SECTION 4: SHIPPING, TRANSIT, AND RTO LIABILITIES

4.1 Logistics Integration: Fulfillment operations are routed via our automated logistics partner, Shiprocket. Sellers are bound to securely pack and dispatch the item within 24 to 48 hours of receiving an order notification.

4.2 Delivery Failure (Return to Origin): If a package is returned to the Seller's origin studio because the Buyer provided an incorrect shipping address or was unreachable across 3 delivery attempts, the forward and reverse shipping costs incurred by Shiprocket will be deducted from any prepaid refund initiated to the Buyer.

SECTION 5: RETURNS, INTEGRITY, AND REFUNDS

5.1 The 7-Day Window: In accordance with our consumer satisfaction benchmarks, Buyers can raise a return or replacement ticket within 7 days of delivery if the item arrives physically broken, torn, damaged during transit, or completely misaligned with the variant ordered.

5.2 Condition for Approval: Art prints or canvases must be returned unused, unwashed, unaltered, and securely rolled or boxed inside their original brand packaging with all tracking barcodes intact.

5.3 No Cash Refunds: Refunds are automated through our secure integrated payment aggregator account held under Abstract. Funds will be rolled back directly to the original payment instrument (UPI, Debit/Credit Card, Net Banking) within 5 to 7 working days after the Seller verifies the structural state of the returned item.

SECTION 6: INDEMNIFICATION AND LIMITATION OF LIABILITY

6.1 Seller Indemnity: The Seller agrees to defend, indemnify, and hold harmless Abstract, its proprietor Ayush Tiwari, and platform employees against any third-party lawsuits, trademark/copyright infringement claims, or regulatory penalties arising from the Seller's listed products.

6.2 Platform Liability Cap: Abstract makes every effort to maintain 100% uptime for its server code. However, the platform is provided on an "as-is" and "as-available" basis. To the maximum extent permitted under Indian law, the total aggregate liability of the Firm to any Buyer or Seller for any platform dispute or software latency shall not exceed the total platform fees or commissions earned by Abstract from that specific user’s transactions during the 1 month preceding the dispute.

SECTION 7: GOVERNING LAW AND GRIEVANCE REDRESSAL

7.1 Jurisdiction: This Agreement is governed by and construed in accordance with the laws of India. Any legal disputes or execution procedures arising from this marketplace network shall fall under the exclusive jurisdiction of the courts located in Raipur, Chhattisgarh, India.

7.2 Grievance Redressal Officer: In accordance with the Information Technology Intermediary Guidelines, 2021, any complaints regarding counterfeit art, platform transaction failures, or vendor disputes can be directed to our compliance cell:
